Terms of Service

These Terms of Service are pending final review by legal counsel. The substantive terms below are in effect, but formatting and language may be refined before the public launch of Canopy.

1. Acceptance of Terms

Welcome to Canopy ("Canopy," "we," "our," or "us"). Canopy is operated by Canopy Financial LLC, a limited liability company organized under the laws of the State of Tennessee. These Terms of Service ("Terms") govern your access to and use of the Canopy platform located at canopymoneyos.com, including all associated web applications, mobile applications, APIs, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

If you are using the Service on behalf of a household or family unit, you represent that you have the authority to bind each member of that household to these Terms.

2. Description of Service

Canopy is a personal and family financial operating system designed to help users understand and manage their finances. The Service provides:

  • Aggregation of financial account data through read-only connections via Plaid, a third-party financial data service
  • Budgeting and spending analysis tools
  • Debt tracking and payoff calculators
  • Investment portfolio monitoring
  • Subscription and recurring charge detection
  • Cashflow forecasting and calendar views
  • Financial goal setting and tracking
  • AI-powered insights, recommendations, and reports generated using third-party artificial intelligence services
  • Household-level financial management for family plans

The Service is a financial information and organizational tool. Canopy does not hold, transmit, or manage your money. All connections to your financial institutions are read-only. Canopy cannot initiate transactions, move funds, or make changes to your accounts at any financial institution.

3. Account Registration

To access most features of the Service, you must create an account. When creating an account, you agree to the following:

  • Age requirement. You must be at least eighteen (18) years of age to create an account and use the Service. By creating an account, you represent and warrant that you meet this age requirement.
  • Accurate information. You agree to provide accurate, current, and complete information during registration and to update such information as necessary to keep it accurate, current, and complete.
  • One account per person. Each individual may maintain only one (1) account. Creating multiple accounts to circumvent feature limits, abuse free trials, or for any other purpose is prohibited.
  • Account security. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at support@canopymoneyos.com if you suspect any unauthorized access to or use of your account.
  • Account responsibility. You are responsible for all activity conducted through your account, whether or not you authorized the activity. Canopy will not be liable for any loss or damage arising from unauthorized use of your account.

4. Subscription Terms and Billing

Canopy offers the following subscription tiers:

  • Free (Clarity) -- $0 per month. Includes basic budgeting features, up to two (2) linked financial accounts, up to three (3) tracked recurring charges, and ninety (90) days of transaction history.
  • Pro (Control) -- $11.99 per month when billed monthly, or $119.88 per year ($9.99 per month) when billed annually. Includes unlimited linked accounts, AI-powered insights and recommendations, CSV data export, all visual themes, and access to all standard features.

Payment Processing. All payments are processed securely through Stripe, our third-party payment processor. By subscribing to a paid plan, you authorize Canopy and Stripe to charge the payment method you provide for the applicable subscription fees. You are responsible for keeping your payment information current.

Auto-Renewal. PAID SUBSCRIPTIONS AUTOMATICALLY RENEW AT THE END OF EACH BILLING PERIOD (MONTHLY OR ANNUALLY, AS APPLICABLE) UNLESS YOU CANCEL BEFORE THE RENEWAL DATE. By subscribing, you acknowledge and agree that your subscription will automatically renew and that you authorize recurring charges to your payment method at the then-current subscription rate. You will receive a confirmation of your subscription terms, including the auto-renewal terms, at the time of your initial purchase.

Cancellation. You may cancel your subscription at any time through your account settings within the Service. Upon cancellation, your paid subscription benefits will remain active through the end of your current billing period. After the billing period expires, your account will revert to the Free (Clarity) tier. No action is required beyond initiating the cancellation through your account settings.

How to Cancel. To cancel your subscription: (1) log in to the Service, (2) navigate to Settings, (3) select the Membership section, and (4) click "Cancel Subscription." You may also cancel by contacting us at support@canopymoneyos.com.

Refund Policy. No refunds or credits will be issued for partial billing periods, downgrade refunds, or unused time within an active subscription period, except as required by applicable law. If you cancel during a free trial period, you will not be charged.

Price Changes. We reserve the right to change our subscription pricing. If we change the pricing for your subscription tier, we will provide you with at least thirty (30) days' advance notice via email to the address associated with your account before the price change takes effect. Your continued use of the Service after the price change becomes effective constitutes your agreement to the new pricing. If you do not agree to the new pricing, you may cancel your subscription before the price change takes effect.

Taxes. All fees are exclusive of applicable taxes (including sales tax, use tax, and VAT), which will be added to your invoice as required by law. You are responsible for the payment of all applicable taxes.

5. Free Trial Terms

Canopy may offer a free trial period for the Pro (Control) subscription tier. The current free trial period is seven (7) days. The following terms apply to free trials:

  • You may be required to provide a valid payment method to start a free trial.
  • You will not be charged during the free trial period.
  • AT THE END OF THE FREE TRIAL PERIOD, YOUR SUBSCRIPTION WILL AUTOMATICALLY CONVERT TO A PAID PRO (CONTROL) SUBSCRIPTION AND YOUR PAYMENT METHOD WILL BE CHARGED THE APPLICABLE SUBSCRIPTION FEE, UNLESS YOU CANCEL BEFORE THE FREE TRIAL PERIOD ENDS.
  • To avoid being charged, you must cancel before the free trial expires by following the cancellation instructions in Section 4 above.
  • Free trial eligibility is limited to one (1) trial per person. We reserve the right to determine eligibility for free trials and to revoke or modify free trial offers at any time.
  • During the free trial, you will have access to all Pro (Control) features.

6. Financial Disclaimer

CANOPY IS NOT A REGISTERED INVESTMENT ADVISOR, BROKER-DEALER, FINANCIAL PLANNER, FINANCIAL ADVISOR, TAX ADVISOR, OR FIDUCIARY. CANOPY FINANCIAL LLC IS NOT REGISTERED WITH THE U.S. SECURITIES AND EXCHANGE COMMISSION (SEC), THE FINANCIAL INDUSTRY REGULATORY AUTHORITY (FINRA), OR ANY STATE SECURITIES REGULATORY AUTHORITY.

ALL INFORMATION, INSIGHTS, RECOMMENDATIONS, PROJECTIONS, FORECASTS, AND AI-GENERATED CONTENT PROVIDED THROUGH THE SERVICE ARE FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. NOTHING CONTAINED IN OR PROVIDED BY THE SERVICE CONSTITUTES OR IS INTENDED TO CONSTITUTE FINANCIAL ADVICE, INVESTMENT ADVICE, TAX ADVICE, LEGAL ADVICE, OR ANY OTHER FORM OF PROFESSIONAL ADVICE.

Specifically, and without limitation:

  • AI-generated insights, recommendations, and reports are produced by third-party artificial intelligence systems and may contain errors, inaccuracies, or outdated information. You should not rely solely on AI-generated content when making financial decisions.
  • Debt payoff projections, retirement estimates, savings forecasts, cashflow predictions, and any other financial projections displayed in the Service are estimates based on the data available and assumptions that may not reflect your actual future financial circumstances. Canopy does not guarantee the accuracy of any financial projection.
  • Budget recommendations, spending alerts, and financial health scores are tools to help you organize and understand your finances. They are not professional financial recommendations.
  • Investment portfolio monitoring features display information aggregated from your linked accounts. This information does not constitute investment advice or a recommendation to buy, sell, or hold any security.
  • Any references to financial products, strategies, or approaches (such as debt avalanche, debt snowball, or emergency fund targets) are for educational purposes and may not be suitable for your specific financial situation.

You should always consult with qualified financial professionals, including certified financial planners, registered investment advisors, tax professionals, and attorneys, before making significant financial decisions. Your use of the Service does not create a fiduciary, advisory, or professional relationship between you and Canopy Financial LLC.

7. Data Accuracy Disclaimer

The financial data displayed in the Service is sourced from your financial institutions through Plaid, a third-party financial data aggregation service, as well as from information you manually enter.

Canopy does not independently verify the accuracy, completeness, or timeliness of data received from your financial institutions or from Plaid. Your financial institutions are responsible for the accuracy of the data they provide. Canopy is not responsible for:

  • Errors, delays, or inaccuracies in data provided by your bank, credit union, brokerage, or other financial institution
  • Delays in data synchronization between your financial institution and the Service
  • Unavailability of data due to outages or changes at your financial institution or at Plaid
  • Inaccurate transaction categorization, including categorization provided by your financial institution or generated by the Service
  • Discrepancies between data displayed in the Service and your actual account balances, transactions, or holdings as reported directly by your financial institution

You should always verify your financial data directly with your financial institutions. In the event of any discrepancy between the data displayed in the Service and the data reported by your financial institution, the data from your financial institution should be considered authoritative.

8. Third-Party Services

The Service integrates with and relies upon third-party services to provide its functionality. Your use of the Service is also subject to the terms and conditions of these third-party providers, including but not limited to:

  • Plaid -- Financial data aggregation. By linking your financial accounts, you authorize Plaid to access your financial data on your behalf in accordance with Plaid's terms. Plaid's terms and privacy policy are available at https://plaid.com/legal.
  • Stripe -- Payment processing. Your payment information is handled directly by Stripe and is subject to Stripe's terms, available at https://stripe.com/legal/end-users.
  • Authentication Providers -- We use third-party authentication services to manage your account sign-in securely. Your use of these services is subject to their respective terms and policies.
  • AI Service Providers -- AI-powered features are provided using third-party artificial intelligence services. Financial data processed by these AI services is handled in accordance with our Privacy Policy.

Canopy is not responsible for the acts, omissions, or policies of any third-party service provider. Your use of any third-party service is at your own risk and subject to the terms and conditions of that third-party service.

9. Intellectual Property

Our Property. All content, features, and functionality of the Service -- including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the underlying technology -- are the exclusive property of Canopy Financial LLC or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. The Canopy name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Canopy Financial LLC.

Your Data. You retain full ownership of all personal financial data that you provide to or connect through the Service. Canopy does not claim ownership of your financial data. We use your data solely to provide and improve the Service, as described in our Privacy Policy.

Limited License to You. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial financial management purposes.

Feedback. If you provide us with feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant us a worldwide, perpetual, irrevocable, royalty-free, fully paid-up license to use, reproduce, modify, and incorporate such Feedback into the Service without any obligation to you.

10. User Responsibilities

As a user of the Service, you agree to the following responsibilities:

  • Account security. You will keep your login credentials confidential and will not share your account access with others (except authorized household members on a Family plan).
  • Accurate information. You will provide truthful and accurate information when registering, linking accounts, and using the Service, including manually entered financial data.
  • Lawful use. You will use the Service only for lawful purposes and in accordance with these Terms and all applicable laws and regulations.
  • Authorized accounts. You will only link financial accounts that you own or are legally authorized to access.
  • Prompt reporting. You will promptly notify us of any unauthorized access to your account or any security breach you become aware of.
  • Data verification. You will independently verify the accuracy of financial data, projections, and recommendations before making financial decisions.

11. Prohibited Uses

You agree not to engage in any of the following prohibited activities:

  • Using the Service for any fraudulent, deceptive, or illegal purpose
  • Accessing the Service using automated means, bots, scrapers, or similar technology without our prior written consent
  • Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code or underlying algorithms of the Service
  • Reselling, sublicensing, redistributing, or commercially exploiting any part of the Service or data obtained through the Service
  • Interfering with or disrupting the integrity, performance, or security of the Service or its underlying systems
  • Attempting to gain unauthorized access to any part of the Service, other users' accounts, or any systems or networks connected to the Service
  • Uploading, transmitting, or distributing any viruses, malware, or other harmful code
  • Using the Service to engage in money laundering, terrorist financing, or other financial crimes
  • Creating multiple accounts to abuse free trials, evade restrictions, or circumvent subscription limits
  • Linking financial accounts belonging to others without their explicit authorization
  • Using AI-generated insights or content from the Service for purposes of providing financial advice to third parties
  • Impersonating any person or entity or falsely stating or otherwise misrepresenting your affiliation with any person or entity

We reserve the right to investigate and take appropriate action, including suspending or terminating your account, against anyone who violates these prohibitions.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CANOPY FINANCIAL LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR IN CONNECTION WITH:

  • Your access to, use of, or inability to use the Service
  • Any conduct or content of any third party on or related to the Service, including Plaid, Stripe, and AI service providers
  • Any content, data, or information obtained from or through the Service, including AI-generated content
  • Unauthorized access, use, or alteration of your account or data
  • Inaccurate financial data, projections, or recommendations provided by or through the Service
  • Financial decisions made in reliance on information provided by the Service
  • Any interruption, suspension, or termination of the Service

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF CANOPY FINANCIAL LLC FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU HAVE PAID TO CANOPY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT CANOPY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, CANOPY DOES NOT WARRANT THAT:

  • The Service will be uninterrupted, timely, secure, or error-free
  • The results or information obtained through the Service will be accurate, reliable, or complete
  • Any errors in the Service will be corrected
  • The Service will meet your specific requirements or expectations
  • Financial data displayed in the Service will be accurate or reflect real-time balances or transactions
  • AI-generated content will be free from errors or suitable for any particular purpose

Your use of the Service is at your sole risk. No advice or information, whether oral or written, obtained from Canopy or through the Service shall create any warranty not expressly stated in these Terms.

14. Indemnification

You agree to defend, indemnify, and hold harmless Canopy Financial LLC, its members, managers, officers, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law, regulation, or third-party right
  • Any content or data you provide to the Service
  • Financial decisions you make based on information obtained from the Service
  • Your negligence or willful misconduct

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with our defense of such claims.

15. Termination

Termination by You. You may terminate your account at any time by contacting us at support@canopymoneyos.com or through the account settings within the Service. If you have an active paid subscription, please cancel your subscription before requesting account deletion to avoid additional charges.

Termination by Canopy. We reserve the right to suspend, disable, or terminate your account and access to the Service, in whole or in part, at our sole discretion, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms
  • Suspected fraudulent, abusive, or illegal activity
  • Extended periods of inactivity
  • Requests by law enforcement or government agencies
  • Discontinuation or material modification of the Service

Effect of Termination. Upon termination, your right to access and use the Service ceases immediately. We will handle your data in accordance with our Privacy Policy. You may request a copy of your financial data prior to account termination. After termination, we will delete your data within a commercially reasonable timeframe, except as required to comply with legal obligations, resolve disputes, or enforce our agreements.

The following sections shall survive termination of these Terms: Financial Disclaimer (Section 6), Data Accuracy Disclaimer (Section 7), Intellectual Property (Section 9), Limitation of Liability (Section 12), Disclaimer of Warranties (Section 13), Indemnification (Section 14), Dispute Resolution (Section 16), and Governing Law (Section 17).

16. Dispute Resolution

Informal Resolution. Before filing any formal legal action, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") informally by contacting us at support@canopymoneyos.com. We will attempt to resolve the Dispute informally within sixty (60) days of receiving your notice.

Binding Arbitration. IF WE ARE UNABLE TO RESOLVE A DISPUTE INFORMALLY, YOU AND CANOPY AGREE THAT ANY DISPUTE SHALL BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") IN ACCORDANCE WITH THE AAA'S CONSUMER ARBITRATION RULES THEN IN EFFECT. The arbitration shall be conducted by a single arbitrator. The arbitration shall take place in Nashville, Tennessee, or at another mutually agreed location, or may be conducted by telephone, video conference, or online at the election of the party initiating the arbitration.

Class Action Waiver. YOU AND CANOPY AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER PARTY ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator shall not have the authority to consolidate claims or conduct class-wide arbitration.

Small Claims Exception. Notwithstanding the foregoing, either party may bring an individual action in small claims court for Disputes within the jurisdictional limits of such court.

Opt-Out Right. You may opt out of the arbitration and class action waiver provisions of this Section by sending written notice to support@canopymoneyos.com within thirty (30) days of first accepting these Terms. Your opt-out notice must include your name, email address, and a clear statement that you wish to opt out of arbitration. If you opt out, Disputes will be resolved in the state or federal courts located in Tennessee as set forth in Section 17 below.

Costs. Each party shall bear its own costs and attorneys' fees in connection with any arbitration. Canopy will reimburse the applicable AAA filing fee for consumer claims if the arbitrator determines that the claims are not frivolous.

17. Governing Law

These Terms and any Dispute arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Tennessee, United States, without regard to its conflict of law provisions.

To the extent that litigation is permitted under these Terms (including where a party has opted out of arbitration or for matters not subject to arbitration), you and Canopy consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Tennessee. You waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.

18. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If we make material changes to these Terms, we will provide you with at least thirty (30) days' advance notice before the changes take effect by:

  • Sending a notice to the email address associated with your account
  • Posting a prominent notice within the Service
  • Updating the "Last updated" date at the top of these Terms

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and may cancel your account.

For changes that materially affect your subscription pricing or payment terms, we will provide the notice specified in Section 4 of these Terms.

19. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the intent of the parties. If such modification is not possible, the invalid provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

The invalidity or unenforceability of any provision in one jurisdiction shall not affect the validity or enforceability of that provision in any other jurisdiction.

20. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by Canopy on the Service, constitute the entire agreement between you and Canopy Financial LLC regarding the Service and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and Canopy regarding the Service.

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
